Service Agreement

Scope of Services

Withyn by Kiki provides interior design services including but not limited to:

• Interior design consultations and space planning
• Design concept development and mood boards
• Color and material selection recommendations
• Furniture and décor sourcing assistance
• Implementation guidance and project coordination
• Styling and finishing touches

Service Limitations

Please Note: Our services are design-focused and do not include structural engineering, electrical work, plumbing, or any construction services. We recommend qualified professionals for all technical and construction-related work.

Project Process

• Initial Consultation: Assessment of your space, needs, and design preferences
• Concept Development: Creation of design concepts, mood boards, and initial plans
• Design Planning: Detailed specifications, material selections, and sourcing
• Implementation: Guidance during execution and final styling

Payment Terms

Fee Structure

Our fees are based on the scope and complexity of your project. All fees will be clearly outlined in your project proposal before work begins.

• Consultation Fees: Due at the time of booking
• Design Fees: 50% deposit required to start, balance due upon completion
• Shopping Services: Fees and any applicable markups will be disclosed upfront
• Travel Expenses: Additional costs for projects outside the Greater Toronto Area

Payment Schedule

• Initial Deposit: 50% of total project fee due upon contract signing
• Progress Payments: Additional payments may be required for longer projects
• Final Payment: Balance due upon project completion

Late Payment Policy

Invoices are due within 30 days of the invoice date. Late payments may incur a 1.5% monthly service charge. Work may be suspended for accounts that are 30 days past due.

Client Responsibilities

Access and Communication

• Provide timely access to the project space for measurements and consultations
• Respond to design proposals and communications within agreed timeframes
• Communicate any changes in project scope or requirements promptly
• Provide accurate information about budget constraints and preferences

Decision Making

• Review and approve design concepts and material selections in a timely manner
• Make final purchasing decisions based on provided recommendations
• Coordinate with contractors and vendors for implementation
• Obtain necessary permits or approvals for any structural changes

Important: Delays in client decisions or access may affect project timelines and could result in additional fees for extended project duration.

Intellectual Property & Photography

Design Concepts and Plans

All design concepts, plans, drawings, and specifications created by Withyn by Kiki remain our intellectual property. Clients receive a license to use these materials for the specific project only.

• Design plans may not be reproduced or used for other projects without written permission
• Concepts may not be shared with other designers for completion or modification
• Full payment must be received before final design files are released

Photography and Portfolio Rights

Portfolio Usage: By engaging our services, you grant Withyn by Kiki permission to photograph the completed project for portfolio and marketing purposes, unless otherwise specified in writing.

• Professional photography may be arranged at the completion of the project
• Images may be used on our website, social media, and marketing materials
• Client privacy will be respected - no personal items or identifying information will be included
• Clients may request to opt out of photography by providing written notice

Project Timelines & Changes

Timeline Estimates

Project timelines are estimates based on typical project flow and are subject to various factors beyond our control.

Factors that may affect timelines:

• Product availability and shipping delays
• Custom manufacturing lead times
• Client decision-making process
• Contractor availability and schedules
• Unforeseen site conditions

Typical project phases:

• Design development: 2-4 weeks
• Product sourcing: 1-2 weeks
• Ordering and delivery: 6-12 weeks
• Installation and styling: 1-2 weeks

Changes and Revisions

We understand that design preferences may evolve during the project. However, changes to approved designs may impact timelines and costs:

• Minor Revisions: Small adjustments during the design phase (included in base fee)
• Major Changes: Significant design direction changes may incur additional fees
• Post-Approval Changes: Changes after client approval may result in restart fees and timeline delays
• Product Changes: Substitutions after ordering may incur restocking fees and delays

Cancellation & Refund Policy

Project Cancellation

• Before Design Phase: Consultation fees are non-refundable. Deposits may be refunded minus any work completed.
• During Design Phase: Fees for completed work are non-refundable. Remaining fees may be refunded based on work completed.
• After Product Orders: Design fees are non-refundable. Product returns subject to vendor policies and restocking fees.
• Emergency Situations: Cancellations due to emergencies will be handled on a case-by-case basis with compassion.

Product Returns

Product returns are subject to individual vendor policies and may include:

• Restocking fees (typically 15-25% of product cost)
• Return shipping costs
• Products must be unused and in original packaging
• Custom or special-order items are typically non-returnable

Limitation of Liability

Service Limitations

Withyn by Kiki provides design services and recommendations only. We are not liable for:

• Structural integrity or safety of design implementations
• Product defects, damages, or performance issues
• Installation errors or contractor workmanship
• Permit requirements or building code compliance
• Delivery delays or shipping damages

Professional Recommendations

Important: We strongly recommend consulting with qualified professionals (contractors, electricians, plumbers, structural engineers) for all technical work. Our designs are aesthetic recommendations and do not constitute professional engineering or construction advice.

Liability Limitation

Our total liability for any claim related to our services shall not exceed the total amount paid by the client for the specific project in question.
